Terms of Service
Last updated: 20 August 2026
These Terms of Service ("Terms") govern your access to and use of Membly at membly.live and the related services (the "Service"), operated by Membly, Italy, VAT no. 02776330397 ("Membly", "we", "us"). Please read them carefully.
By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Acceptance and eligibility
By accessing or using the Service you confirm that you accept these Terms and have the authority to do so. You must be at least 16 years old (or the age of digital consent in your country) and, where you act for an organisation, authorised to bind it. If you do not agree to these Terms, do not use the Service.
2. The Service
Membly aggregates your paid memberships across connected platforms (currently Twitch, Kick, Patreon and YouTube) and automatically grants or revokes access to your Telegram groups and Discord servers based on each member's active subscription and the rules you configure.
The Service also provides a dashboard, an activity feed, analytics, member notifications, and optional features such as content alerts, file hosting and a public link page. Available features depend on your plan and may change over time.
3. Your account
You sign in through a third-party platform (OAuth). You are responsible for keeping the connected accounts used to access Membly secure and for all activity under your account. Notify us at support@membly.live if you suspect unauthorised access. The information associated with your account must be accurate and kept up to date.
4. Connecting third-party platforms
To use Membly you authorise it to access certain platforms via OAuth. You confirm that you have the right to connect those accounts and to use the data you make available through them.
Your use of each connected platform remains subject to that platform's own terms, and you must not use Membly in any way that breaches them. We are not responsible for the availability, accuracy or actions of third-party platforms, and changes to their APIs may affect the Service.
5. YouTube API Services
Membly's YouTube features are built on YouTube API Services. By using those features, you agree to be bound by the YouTube Terms of Service.
Membly reads your channel's membership levels and current membership status in order to grant and revoke the community access you configure. It does not upload, edit or delete YouTube content, and it does not use YouTube data to produce metrics or statistics beyond what the YouTube API itself provides.
You can withdraw Membly's access to your Google account at any time from your Google Account security settings, or by disconnecting YouTube in Membly. How Membly handles YouTube data is described in our Privacy Policy.
6. Your responsibilities for member data
Where Membly processes data about your members and subscribers, you are the data controller and we act as your processor, as described in our Privacy Policy. You are responsible for having a lawful basis to collect and share that data, for giving your members the required privacy information, and for honouring their data-protection rights. You must not upload or process any data unlawfully.
7. Acceptable use
You agree not to:
- use the Service for spam, harassment or unlawful content
- circumvent or violate any connected platform's terms of service
- attempt to gain unauthorised access to, disrupt, or reverse-engineer the Service
- resell, sublicense or misrepresent the Service
- use the Service to infringe the rights of others or to engage in illegal activity
We may investigate suspected breaches and suspend or terminate accounts that violate these rules.
8. Plans, fees and billing
Some features require a paid plan. Prices and plan features are shown in the app and may change with reasonable notice. Paid plans are billed in advance and renew automatically each month or year until cancelled.
Payments are processed by Stripe; by subscribing you authorise recurring charges to your chosen payment method. You can cancel at any time from Settings, with cancellation taking effect at the end of the current billing period.
9. Right of withdrawal and refunds (EU consumers)
If you are a consumer in the EU you generally have a 14-day right of withdrawal for distance contracts. Because the Service is supplied digitally and made available immediately, by subscribing and starting to use a paid feature you expressly request that performance begin during the withdrawal period and acknowledge that you lose the right of withdrawal once the service has been fully performed.
Except where mandatory law requires otherwise, fees already paid are non-refundable for partial billing periods. Your statutory consumer rights are not affected by this section.
10. Intellectual property
Membly and its software, design, trademarks and content are owned by us or our licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.
You retain ownership of your own content and data, and grant us the limited licence needed to operate and provide the Service to you. You may not copy, modify, distribute or create derivative works of the Service except as permitted by law.
11. Availability and changes to the Service
We work to keep the Service available but provide it without any uptime guarantee unless separately agreed in writing. We may modify, suspend or discontinue features, and may carry out maintenance, giving reasonable notice where practicable. Because the Service relies on third-party platforms, interruptions on their side may affect it.
12. Suspension and termination
You may stop using the Service and close your account at any time from Settings. We may suspend or terminate your access if you breach these Terms, create legal or security risk, or fail to pay - with notice where appropriate, and immediately in the case of serious breaches.
On termination your right to use the Service ends; provisions that by their nature should survive (such as intellectual property, liability and disputes) will continue to apply. We will handle your data as described in our Privacy Policy.
13. Disclaimers
Except as required by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that it will achieve any specific result. Mandatory statutory warranties for consumers are not excluded.
14. Limitation of liability
To the maximum extent permitted by law, Membly is not liable for indirect, incidental, special or consequential damages, or for loss of profits, revenue, data or goodwill. Our total liability for any claim is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim.
Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud, for death or personal injury caused by negligence, or - for consumers - your mandatory statutory rights.
15. Indemnity
If you are not acting as a consumer, you agree to indemnify and hold Membly harmless against claims, losses, liabilities and reasonable costs arising from your breach of these Terms, your misuse of the Service, or your unlawful processing of member data.
16. Governing law and disputes
These Terms are governed by the laws of Italy, without prejudice to the mandatory consumer-protection rules of your country of residence in the EU. Disputes are subject to the competent courts of Italy, except that consumers may also bring proceedings in their place of residence where the law allows.
The European Commission's Online Dispute Resolution platform is available at ec.europa.eu/consumers/odr.
17. Changes to these Terms
We may update these Terms from time to time. We will post the updated version with a new 'Last updated' date and notify you of material changes by email or in-app notice. Changes take effect when posted, or on the date we state. Continued use of the Service constitutes acceptance; if you do not agree, stop using the Service and close your account.
